NV company: what is it and how can you start a company in the Netherlands?

What is the NV company?

The abbreviation NV stands for public limited company. This is a legal form of a company where the company has a legal personality. This means that if there are debts, the directors of the company are not liable with their private assets.

  • The company has not yet been registered in the trade register

In a NV company, the capital is divided into shares. These shares are owned by shareholders, which gives them the right to make decisions about the company’s affairs. They can appoint the board, but also dismiss them. Shares in a NV company can be resold. In a public limited company, the directors are responsible for the affairs of the company. So they are in charge. A NV company often also has a supervisory board. These supervisory directors oversee the management. Sometimes the supervisors are also part of the board. As a shareholder, your liability is the amount of your shares. That is all.

If you want to start a NV company, you have to go to the notary. The notary draws up a notarial deed. This contains the statutes. The notary also takes care of the registration in the Trade Register of the KVK. Each board member is also listed in this Commercial Register. If this has not yet been done, you as a person are liable for debts. You have to deposit at least EUR 45,000 as starting capital in the company. At the time of incorporation, you enter all stakeholders of the company in the UBO register. Stakeholders are people with more than 25% of the shares in the company. Is your company listed on the stock exchange? Then you do not have to register the stakeholders here.

You can start doing business before you have incorporated your NV company. However, registration with the Trade Register is mandatory. So here, too, you will need a notary. It is also important that you make clear to the people with whom you do business that you will conclude contracts in the name of the company. But these contracts still have to be taken over by the nv once the entire registration is complete. In other words, you are liable during this period. You can only write the contract on the company if the company or the person you are doing business with agrees.
